Please read these Terms carefully. They explain what you can expect from Advata and what we expect from you.
1. Introduction and acceptance
These Terms of Use ("Terms") govern your use of Advata Invoice System ("Advata", "we", "us"), including this website, the Advata web application and related services. Advata is operated by Advata Branding & Digital Solutions, [CAC registration number], of 331 Ziks Avenue (MTN Office), 2nd Floor, Amaenyi, Awka, Anambra.
By creating an account or using Advata, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use Advata.
You must be at least 18 years old and able to enter into a binding agreement to use Advata. If you use Advata for a business or organisation, you confirm that you are authorised to accept these Terms on its behalf.
2. About Advata
Advata is an online workspace that helps businesses create invoices, quotations and receipts, keep customer records, record payments received, and view simple financial summaries. One account can manage several businesses.
Advata is a record-keeping and document tool. We are not a bank, payment service, accountant or tax adviser, and we do not collect money on your behalf: your customers pay you directly using the payment details you put on your documents.
3. Account registration
- You must give accurate, current information when you register, including your name, email address and a mobile number you control.
- We verify your mobile number by sending a one-time code by WhatsApp or SMS. Some features are available only after verification.
- Each account is for one person. You are responsible for everything done through your account.
- Keep your details up to date so we can reach you about your account.
4. Your responsibilities
- The information on your invoices, quotations and receipts (amounts, descriptions, taxes, payment details, customer details) is yours and must be accurate and lawful.
- Advata calculates totals, discounts and VAT at the rate you choose to apply, as a convenience. You remain responsible for your own tax, accounting and legal obligations, including whether VAT applies to you.
- You are responsible for the documents you send and the people you send them to.
- You must use Advata in line with applicable Nigerian law and these Terms.
5. Business information and multiple businesses
- You may add more than one business to your account. Each business has its own name, logo, colours, invoice template, numbering and payment details.
- You may only add businesses, names and logos you own or are authorised to use.
- Business details you enter are printed on that business’s documents. Changes apply to new documents; documents already issued keep the details they were issued with.
- A business can be archived. Its records stay in your account and it can be reactivated.
- Your customer list and invoice credits are shared across all businesses on your account.
6. Invoices and business documents
- Each invoice receives a number from its business’s numbering sequence.
- To keep your records complete and traceable, an issued invoice cannot be deleted. It can be voided: a void invoice keeps its number, stays in your records marked as void and is left out of your totals.
- Advata can create a private link to a document so your customer can view and download it without an account. Anyone who has the link can open it, so share it only with the intended recipient. You can replace a link so the old one stops working.
- When you ask Advata to email a document, it is sent from our system on your business’s behalf, with replies going to your business email address.
7. Customers and business records
- You may store details of your customers (such as names, phone numbers, email and postal addresses) to use on your documents. You must have a lawful basis to do so and must handle your customers’ information in line with applicable data protection law, including the Nigeria Data Protection Act 2023.
- For your customers’ information, you decide why and how it is used, and we process it on your behalf to provide Advata. Our Privacy Policy explains how we handle it.
- A customer who has invoices cannot be deleted, so that issued invoices stay complete.
8. Invoice credits, pricing and payments
- Creating an account, setting up business profiles, adding businesses, saving customers, creating quotations, recording payments and viewing reports do not use credits.
- One invoice credit is used each time an invoice is created. Credits belong to your account and can be used by any of its businesses.
- Credits are sold in packages. The price and number of credits of each package are shown before you pay. Prices may change; a change does not affect credits you have already bought.
- Payments for credits are processed by third-party payment providers (currently Paystack and Flutterwave). We do not receive or store your card details. Credits are added once the payment provider confirms your payment.
- If you were charged but did not receive your credits, contact us with your payment reference and we will investigate.
- Fees are non-refundable unless otherwise stated. [confirm refund exceptions, e.g. duplicate or failed charges]
- [confirm whether credits expire, whether they can be transferred between accounts, and that they have no cash value]
9. Acceptable use
You must not use Advata to:
- create false, misleading or fraudulent documents, or impersonate another person or business;
- bill for illegal goods or services, or support money laundering or other crime;
- send unsolicited messages or misuse document links to contact people who did not deal with you;
- upload malicious code, attempt to gain unauthorised access, or disrupt or overload the service;
- copy, resell, scrape, or reverse-engineer any part of Advata;
- infringe anyone’s intellectual property or privacy.
10. Account security
- Keep your password private and use one you do not use elsewhere. If you forget it, you can reset it with a code sent to your phone and email.
- Tell us straight away at support@advata.ng if you think someone else has used your account.
- We email you when important details change, such as a business’s bank details, so you can spot changes you did not make.
- We may limit attempts to log in, verify or send messages, to protect accounts from misuse.
11. Platform availability
We work to keep Advata available and reliable, but we do not guarantee uninterrupted or error-free service. Maintenance, upgrades, problems with third-party services or events beyond our control may limit access from time to time. We may change, add or remove features to improve the service.
12. Data ownership
- The business information, customer records and documents you put into Advata remain yours.
- You give us permission to store, process and display that information only as needed to provide, secure and improve Advata, and as described in our Privacy Policy.
- You can download your invoice and payment records as spreadsheets (CSV) from the Reports screen.
13. Intellectual property
The Advata software, website, designs, invoice templates, name and logo belong to Advata Branding & Digital Solutions or its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use Advata for your business. You may not copy, modify or distribute any part of Advata without our written permission. Your own logos and content remain yours.
14. Third-party services
Advata relies on third-party services, including payment providers (Paystack and Flutterwave), a messaging provider for WhatsApp and SMS codes (eBulkSMS), email delivery and web hosting [hosting provider]. When you use a feature that involves them, their own terms and policies may also apply. We are not responsible for services we do not control, such as WhatsApp when you send a document link from your own phone.
15. Account suspension and termination
- You may stop using Advata at any time and may ask us to close your account by contacting support@advata.ng.
- We may pause or close an account that breaches these Terms, is used for fraud, puts other users or the service at risk, or where the law requires it. Where appropriate, we will tell you the reason. A paused account cannot log in; its records are kept and the account can be reactivated.
- When an account is closed, invoices and other financial records may be kept for the period explained in our Privacy Policy, because they are business records.
16. Limitation of liability
- Advata is provided "as is" and "as available". To the extent permitted by law, we are not liable for loss of profits, business, data or opportunities, for errors arising from information you entered, or for interruptions beyond our reasonable control.
- Nothing in these Terms limits liability that cannot be limited by law.
- [overall liability cap, e.g. the amount you paid us in the 12 months before the claim — to be set with legal counsel]
17. Changes to these Terms
We may update these Terms. We will post the new version on this page with a new "last updated" date and, for significant changes, tell you by email or in the app before they take effect. If you keep using Advata after the changes take effect, you accept the updated Terms.
18. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be handled by the courts of [state, e.g. Anambra State], unless we agree to resolve them another way, such as mediation.
